Construction Industry Case Study: Joint Venture Partnerships and Key Ethical Considerations for Structuring Relationships

Joint ventures can be incredibly beneficial within the construction industry, but such partnerships also pose a myriad of ethical questions and hurdles. During this session, benefit from a review of key ethical considerations before entering into a joint venture (or consortium) partnership for a construction project.

 

Topics of discussion will include:

 

  • Understanding the purpose and scope of the JV partnership – why was the JV partner(s) being selected
  • JV partner vetting – key due diligence do’s and don’ts
  • Which set of policies should take precedence?
  • Does a code of conduct need to be re-drafted? Which code of conduct should set the standard for the partnership?
  • Who, if anyone, should undergo compliance training and how should this training be launched to users?
  • Should the JV partner have access to/use an anonymous tip hotline? What about the ability to report through a whistleblower policy?
  • Conflicts of interest – what to look for and knowing how to report any conflicts
  • Third parties – will they need to be involved in the JV partnership? Who will provide due diligence for these additional vendors and should either JV partner’s third parties be in consideration over the other?

Julianna Fox

Chief Ethics and Compliance Officer

Julianna Fox was appointed Chief Ethics and Compliance Officer for WSP in March 2018. She is responsible for overseeing the global compliance and ethics program and provides strategic advice on matters of business ethics. Ms. Fox previously served as the Global Director of Compliance and Ethics from May 2015 to March 2018. Ms. Fox began her career in legal and regulatory compliance as a litigator in the Montreal-based law firm Fasken, following which she was in-house counsel specializing in matters of regulatory compliance for a large international airline.

 

Ms. Fox holds an MBA from Concordia University’s John Molson School of Business as well as civil and common law degrees from the University of Ottawa. She is a member of both the Quebec and New York State Bars.

Amee Sandhu

Amee has been a business lawyer for 20 years. Her practice is uniquely focused on commercial negotiations, in-house counsel work, and ethics and compliance programs. Amee’s experience ranges from: M&A, corporate and commercial work on Toronto’s Bay Street; 10+ years as legal counsel at one of Canada’s most sophisticated global engineering companies and a Crown corporation. She also held several senior roles at a large global engineering and construction company, which was the subject of a World Bank debarment and faced criminal charges as well, SNC-Lavalin. Her past positions included: Senior Legal Counsel, Integrity Officer for the Power and Mining sectors, global Head of Compliance Operations, and Modern Slavery and Human Trafficking Compliance Officer. Building on her experience, she is the Founder and Principal Lawyer of Lex Integra Professional Corporation in Toronto, Canada. Her focus is to help clients with their day-to-day business law and integrity risks. Amee also teaches business law at the university level.
